How to register a foundation in Kenya? 
The process of how to register a foundation in Kenya can be easy or an uphill task depending on the kind of information you have in your hands about the whole procedure. There are several ways to go about it in Kenya, and I will be discussing two of them in this article. The requirements to register a foundation in Kenya will depend on the type as the processes are somewhat different. In case you have been thinking of registering a foundation in Kenya here is what you need to know. 
How to register a foundation in Kenya
First of all, a charitable foundation, in accordance with the Kenyan law, is established as a company limited guarantee or as a charitable trust. Foundation as a charitable trust To make sure that a trust has can be identified it is registered under the Trustees Act which upon successful completion, a certificate is issued. This gives it legal power such that it can either sue or be sued. Registering the organization as a trust enables it to apply for charitable status. For a trust to obtain charitable status in Kenya it must first satisfy the following requirements from the Kenya Revenue Authority: 
Must have a trust deed Must clearly state the objectives of the trust Give functional postal addresses of the trustees Give an accurate physical location of the trust in question: the plot number, exact road, the town, country etc. A copy of National Id or passport of the trustees Passport photos of all the trustees A copy of pin certificates of all the trustees

Trust deed preparation: Must clearly state name as well as the objectives of the trust Give full names and functional postal addresses of the all the trustees Give an accurate physical location of the trust in question: the plot number, exact road, the town, country etc. Must clearly state or define all the powers of the trustees either in changing or in the appointment of other trustees 
2. The stamp duty After the trust deed is prepared its then signed by the trustees and is submitted for stamp duty
 3. The registration under the Registry of Documents Act After stamping of the trust document, it’s then registered under the act of the registry of documents This procedure takes 1 - 3 weeks to complete, however this does not make it a trust yet.
 4. Incorporation under the Perpetual Successions Act. Upon registration of the trust under the Registry of Documents, a certified copy of the trust deed and the petition for incorporation prepared in the prescribed form is then lodged with the Minister of Lands for the incorporation of the trust In this petition the trustees must state their intention of being incorporated into the trust under the act and to represent the common seal of the trust which has to be rounded in shape and also have the trust’s name inscribed there as well.
5. Registration Certificate of Incorporation is then processed later. Foundation as a company limited by guarantee This is one which is incorporated without share capital. The liability of the owners is equated to the amount that they contribute to the company’s assets in the case of liquidation in the articles of association. In the certificate of incorporation it must be indicated that a company is limited by guarantee.
